Proposals and Scope
Proposals remain valid for 30 days unless stated otherwise. If a proposal is not accepted within that period, we may revise pricing, scope, or timelines before resubmitting.
Fees and Related Costs
Unless otherwise specified in writing:

Payment Terms
Invoices are due within five (5) days from the date of issue unless otherwise agreed in writing. Payment schedules may follow milestone stages as defined in the Agreement.
Late payments may result in delays to project delivery.
Changes to Scope
Any request to modify the agreed scope must be submitted in writing.
Minor adjustments that do not materially affect cost or timeline may be accommodated. Significant changes may require a revised or supplemental Agreement.
Where proposals are issued for additional work, acceptance should occur within 14 working days unless otherwise specified.
Delays
If delays occur due to late client approvals, missing materials, or incomplete information, timelines will be extended accordingly.
If delays occur on our side, we will communicate updated timelines promptly.
Events beyond reasonable control, including technical disruptions or unforeseen circumstances, may extend deadlines without constituting breach of contract.
Review and Acceptance
We conduct internal quality checks before submitting Deliverables.
The client has seven (7) working days to review submitted work. If no feedback is provided within this period, the Deliverables may be deemed accepted.
If revisions are required within scope, we will address them within a reasonable timeframe.
Client Obligations
The client agrees to:
- Provide accurate and lawful materials
- Ensure content does not infringe third-party rights
- Supply timely feedback and approvals
- Proofread content unless otherwise agreed
Attribution and Portfolio Use
Unless agreed otherwise in writing, we may include a discreet reference to our involvement in completed work and showcase non-confidential aspects in our portfolio.
Neither party will unreasonably refuse accurate factual references.
Confidentiality
Both parties agree to keep confidential information private and use it only for the purposes of fulfilling the Agreement.
This obligation does not apply to information that is publicly available or lawfully obtained from third parties.
Independent Relationship

Limitation of Liability

Intellectual Property and Usage Rights
Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company Tools, frameworks, and internal systems remain the property of 24-7livechat.com unless explicitly transferred in writing.
Unless otherwise agreed, Deliverables may not be modified for redistribution or resale without permission.
Support
Ongoing support services are provided only if agreed separately in writing and may be billed independently.
Any warranty does not apply if Deliverables are altered by third parties without authorization.
